SOURCE-AVAILABLE & COMMERCIAL LICENSE — VERSION 2.0 janczakb/filament-flex-fields (the "Software") Effective: 1 October 2026 GitHub platform-rights clarification: 17 October 2026

This is a source-available license, not an open-source license. Public access to source code does not grant unrestricted commercial use or redistribution. By exercising rights granted by this License, You agree to its terms. A person accepting for an organization must have authority to bind that organization. Commercial plans are intended for professional/business use. Nothing here excludes rights that mandatory applicable law makes non-excludable.

This document contains the free-use grant AND the standard commercial grants. COMMERCIAL.md explains those grants and lists current prices. Paying for a plan authorizes only that plan's stated scope; it does not waive other restrictions. Previously issued licenses are protected by Section 10.6.

## Section 1: definitions

1.1 "Software" means the original code and materials in the janczakb/filament-flex-fields package, including PHP, Blade, CSS, JavaScript, assets, configuration, documentation, and modifications of those materials. Third-party components retain their own licenses under Section 6.4. Other packages, including Flex Forms, are not included merely because they integrate with the Software or share its author or branding.

1.2 "You" or "Licensee" means the named natural person or single legal entity exercising the grant. A sole proprietor is the named natural person trading under a business name; several trading names do not create several licensees. An incorporated company is distinct from its founders, employees, shareholders, clients, parent, subsidiaries, and sister companies.

1.3 "Official Distribution Channels" means the Copyright Holder's official GitHub repository, its official Packagist listing, and other channels expressly authorized by the Copyright Holder. Obtaining the Software from those channels is not redistribution by the recipient. Downloading a public package, including through Composer, does not itself confer commercial rights.

1.4 "Authorized Personnel" means employees, individual contractors, agencies, and hosting/build/service providers accessing the Software solely to develop, maintain, secure, or operate a permitted application on Your behalf. They must be bound by employment duties or contractual obligations protecting the Software against unauthorized use or disclosure. They receive no right to use Your license for their own or other clients' products. You remain responsible for their compliance within the access You authorize.

1.5 "Software Transfer" means providing or making available a copy of the Software, modified or unmodified, to a party outside the applicable grant, including in source, archives, vendor directories, repositories, registries, installers, containers, virtual machines, binaries, or deployment artifacts. A copy need not be standalone, readily extractable, or editable to count. A contractual promise not to extract a delivered copy does not prevent a Software Transfer. The following are limited permitted exceptions:

(a) private access and copies for Authorized Personnel, solely for the licensed use, with no independent reuse or distribution rights;

(b) private repositories, internal package caches or forks, CI artifacts, backups, and deployment copies accessible only within the applicable grant, including Covered Entities under Enterprise Group;

(c) Runtime Access and Browser Assets under Section 1.6;

(d) contributions to the Copyright Holder under Section 4;

(e) copies expressly authorized by a Custom agreement under Section 5.5.

(f) viewing and service-native forks to the extent separately permitted by GitHub's terms accepted by the Copyright Holder for the official public repository. Those platform permissions do not grant commercial operation, independent redistribution outside that service, or OEM rights. Except for such separately granted platform permissions, public access to the upstream package does not authorize mirrors, customer source delivery, or customer downloads.

1.6 "Runtime Access" means using an application's interface or API without receiving its server-side Software, installation artifacts, or rights to independently install, maintain, copy, distribute, or sublicense the Software. Application administration, tenant settings, and data exports alone are Runtime Access; access to server files, vendor directories, repositories, container images, or reusable Software code is not. "Browser Assets" means HTML, CSS, JavaScript, fonts, and other assets ordinarily delivered to a browser to operate the permitted application, including its hosted forms or widgets embedded on another website. Serving, caching, or publishing those necessary assets through a CDN or a build step such as \`php artisan filament:assets\` is allowed. This exception does not authorize an SDK, component download, public source mirror, or asset bundle offered for independent reuse. User data, filled forms, ordinary generated documents, and configurations containing no Software code are not Software.

1.7 "Permitted Free Use" means the uses below, subject to Section 3:

(a) Personal, educational, research, or internal operational use by one person or entity. Internal use includes staff administration, managing Your own goods/services, and incidental customer/supplier portals for those operations, provided You are not supplying the application itself as a Commercial Product. A staff-only back office that administers an otherwise independently functioning business is internal use; components forming or configuring the software service sold to users are not made internal merely by hiding them behind a staff login.

(b) Bespoke work-for-hire for a Distinct Client Engagement, where You remain the responsible licensee/operator, the client receives Runtime Access only, the application serves that client's own internal operations described in (a), and the client does not offer it as a software product or service to others. Each engagement must independently qualify; there is no agency-wide right to sell copies or productized installations.

(c) Private development, testing, and evaluation, including a non-production demonstration, of a prospective Commercial Product. This does not cover live customer operations, a paid pilot, or a production launch. Obtain the appropriate commercial grant before such use begins. Earning revenue from Your ordinary business or charging for bespoke labor does not alone disqualify (a) or (b). Conversely, calling a hosted software service "consulting," "internal," or "free" does not make it free use when it is in substance a Commercial Product. Section 5.6 explains client-owned applications and direct licensing without Software Transfer by the agency.

1.8 "Distinct Client Engagement" means an individually identified client and written scope of bespoke work, documented before production deployment. Several projects may be one engagement only if that written scope covers them. Each client's use must satisfy Section 1.7(b), irrespective of how many engagements You perform. Repeated installation or sale of Your own product is not bespoke work-for-hire for this purpose.

1.9 "Commercial Product" means an application or software service supplied to third parties for fees, subscriptions, licensing revenue, advertising, bundled consideration, or another commercial benefit, where the Software is integrated into that product's functionality. It includes paid SaaS, monetized platforms, freemium products, customer-facing software tools, and hosted form builders. No minimum revenue, user count, tenant count, percentage of Software code, or visibility threshold applies. An ordinary business website, shop, booking/contact form, or internal portal is not a Commercial Product merely because it supports selling Your own non-software goods or services, if Section 1.7(a) otherwise applies.

1.10 "Product" means one identifiable application or service with a coherent purpose and product identity, owned by its licensee and offered/operated as one product. It includes versions, upgrades, language editions, pricing tiers, feature modules, regional deployments, disaster recovery, and dedicated tenant instances of that same product. Domains, servers, repositories, or databases alone do not determine product count. A separately offered application with an independent purpose or product identity is a separate Product, even if it shares code or is sold in a bundle. A rebrand replacing an existing name is not a new Product; an independently offered fork or second product is. Cosmetic tenant branding under Section 5.1 is not a separate Product or OEM right.

1.11 "Hosted Use" means operation by You or Authorized Personnel on infrastructure under Your operational control, with customers receiving Runtime Access only. Commercial cloud hosting and dedicated instances in Your provider account qualify. Customer-owned servers, customer cloud accounts/VPCs, or delivered customer appliances are Customer Installations when a copy is placed there for that customer to possess, administer, or independently operate. A managed-service contract, encryption, or retained vendor admin access does not turn that installation into Hosted Use. Section 5.6 permits a contractor to administer its client's directly licensed own application.

1.12 "Customer Installation" means delivery or deployment of Your product with the Software to an external customer's infrastructure or control, including on-premises, customer-cloud, self-hosted, downloadable, or offline editions. "Redistribution" includes Software Transfer as part of any application, kit, plugin, library, or other deliverable, whether sold or given away. "OEM" means embedding or supplying the Software in a product for another business to distribute, install, rebrand, or sublicense. A sales/referral agent arranging Your direct SaaS contracts, without such rights, is not OEM.

1.13 "Derivative Work" means a modification or adaptation of the Software or incorporation of its protected code. Integration alone does not transfer ownership of Your independently written application to the Copyright Holder. "Bundled Product" means an application, library, kit, template, starter, boilerplate, or other offering containing or commercially requiring the Software. A dependency declaration is not itself a copy of Software, but omitting vendor files does not remove the Custom requirement for selling a starter or distributable product designed around the Software.

1.14 "Covered Entities" under Enterprise Group means the named parent legal entity and subsidiaries in which it owns, directly or through wholly owned subsidiaries, 100% of the ownership interests and voting rights, for as long as that relationship continues. There is no subsidiary or team count limit. Majority ownership, common founders, shared investors, joint ventures, franchises, and contractual control alone do not qualify. The named parent's own parent or sister companies are not covered unless within this definition under the parent actually named in the License Confirmation.

1.15 "License Confirmation" means an email or instrument issued or expressly authenticated by the Copyright Holder identifying the licensee, plan, effective date, applicable License version, price/currency, payment reference, and scope, including the named Product for Single Product or named parent for Enterprise Group. A payment receipt alone is not a grant unless it expressly contains that authenticated confirmation. A "Custom agreement" must expressly identify every additional or varied right it grants.

## Section 2: free license and common operating permissions

2.1 Subject to this License, the Copyright Holder grants a worldwide, non-exclusive, royalty-free, non-transferable, non-sublicensable license to obtain the Software from Official Distribution Channels and reproduce, install, execute, display, and use it solely for Permitted Free Use. Commercial rights arise only under Section 5 and a License Confirmation.

2.2 Both free use and licensed commercial use allow the copies reasonably necessary for the permitted scope: production where authorized, development, local machines, staging, preview, QA, CI, disaster recovery, backups, replicas, and migrations. These environments and their servers are not separately charged. An environment labeled "test" that actually serves live customers must have the rights required for that production use.

2.3 You may style, theme, configure, and integrate the Software in a permitted application, including application CSS/Blade overrides and Browser Assets. You need not display a public "Powered by Flex Fields" badge. Retain the copyright/license notices in code and distributed assets where present; ordinary application branding does not authorize relabeling the Software.

2.4 You may inspect, patch, adapt, and privately fork the Software for Your permitted scope, including changes under vendor/. Private package feeds for Authorized Personnel or Covered Entities are permitted under Section 1.5(b). Modifications do not enlarge the license, remove attribution, or authorize independent public distributions or external redistribution. Separately granted GitHub platform permissions remain as stated in Section 1.5(f). Support for modifications is not promised. Contributions follow Section 4.

2.5 There are no developer-seat, user, tenant, server, CPU, region, or revenue limits for a use otherwise within the applicable grant. Unlimited scale does not expand the number of Products or entities licensed, authorize Customer Installations, or grant redistribution or sublicensing rights.

## Section 3: restrictions applying to every plan

3.1 No license is granted beyond the rights expressly stated in Sections 2 and 5 and the applicable License Confirmation. Single Product, Unlimited Company, and Enterprise Group are "Standard Plans." Their additional commercial grant is limited to Section 5.1 and their respective scope. Merely holding a commercial license does not waive this Section 3.

3.2 Except for Section 1.5's limited exceptions or express Custom rights, You may not redistribute, sell, sublicense, publish, mirror, or transfer the Software or a Derivative Work, alone or inside a Bundled Product. This includes public/private customer repositories, package feeds, email copies, source handovers, downloadable builds, and Customer Installations. The restriction applies even if the Software is incidental, encrypted, compiled, supplied without a separate charge, or customers promise not to extract it.

3.3 Standard Plans do not authorize selling or distributing templates, starter kits, boilerplates, SDKs, component libraries, or reusable application source incorporating or commercially requiring the Software. Requiring the buyer to fetch it from official channels does not by itself authorize that distribution business. Genuine bespoke client development with direct licensing is separately permitted under Section 5.6.

3.4 Standard Plans do not authorize white-label/OEM arrangements in which another business receives the Software or independent rights to operate, resell, or sublicense a Software-based product as its own. Cosmetic SaaS tenant branding and ordinary referrals are permitted under Sections 1.10, 1.12, and 5.1; white-label product distribution or reseller operating rights require an express Custom agreement.

3.5 You may not market the Software or a Derivative Work as Your own field library, UI kit, plugin, or substantially substitutable developer toolkit without express Custom rights. A hosted business application, including a hosted form builder, is not prohibited merely because it uses the Software's fields extensively, if users receive Runtime Access/ordinary output only. Exporting reusable Software code or supplying a competing component kit requires Custom rights. Independently developed code containing no protected Software material is not claimed by this License.

3.6 Preserve copyright, license, and third-party notices. Do not misrepresent authorship or use the Copyright Holder's trademarks to imply endorsement. Renaming or rebranding the Software itself requires express Custom rights; those rights do not implicitly transfer copyright or permit false authorship.

3.7 Do not assign, sell, lend, pool, share, or sublicense license rights except as expressly permitted in Section 5. End users may use Your application under Your own terms, but receive no independent Software rights from You. Separate purchases may legitimately cover separate Products/entities; they cannot be pooled to create redistribution rights or an unlicensed group.

3.8 Do not evade scope limits by changing names, splitting vendor files from a downloadable product, using intermediaries, or describing Software delivery as hosting. Classification follows the actual ownership, operation, deliverables, and rights, not invoice wording or package format.

3.9 Mandatory-law rights, including any non-waivable rights to necessary backup, observation, study, testing, interoperability, or lawful transfer, are not excluded. This License does not grant other uses beyond its express scope.

## Section 4: contributions

4.1 By intentionally submitting a contribution to the Copyright Holder for inclusion in the Software, You grant Bartłomiej Janczak a perpetual, worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, modify, distribute, and license that contribution, including under proprietary terms. You retain ownership of Your original contribution.

4.2 You represent that You hold the rights necessary for that grant, including any employer/client authorization, and disclose relevant third-party terms. Contributions may be rejected. Submission does not entitle You to payment, commercial rights, support, or acceptance of the proposed change.

4.3 You may send patches privately to the Copyright Holder or through the official repository's contribution workflow, including a service-native fork with existing notices retained. This License does not require deletion of a fork that remains permitted under the separate platform permissions in Section 1.5(f). Contributing does not grant commercial operation, external distribution, or promotion of a separately licensed Software product. Ordinary code-free discussion, issue reports, and links to official sources are not redistribution.

## Section 5: commercial plans and commercial lifecycle

5.1 COMMON STANDARD GRANT. Once effective under Section 5.7, a Standard Plan grants worldwide, non-exclusive commercial rights to reproduce, install, run, modify, and integrate the Software in Products within its scope, and to sell subscriptions or other Runtime Access to those Products in Hosted Use. Section 2's operating permissions also apply. You must own the Product (excluding third-party dependencies) and operate it directly or through Authorized Personnel; Enterprise Group permits ownership/operation by its Covered Entities collectively. A mere license to resell another owner's Product is not Product ownership for these plans. All Standard Plans include unlimited users, tenants, Authorized Personnel, and environments for covered Products. Custom domains, tenant logos/colors, separate tenant databases, and dedicated instances remain covered when You retain the Product and service relationship and grant no independent reseller rights. Neither a Standard Plan nor a large customer count authorizes Customer Installations, Software redistribution, or OEM rights.

5.2 SINGLE PRODUCT — USD 249, ONE-TIME CURRENT LIST PRICE. One named natural person or legal entity may use the Software in one named Product, including all its permitted versions and environments. The Product is identified in the License Confirmation before commercial deployment. You may develop its features and replace its brand without buying again; record a changed name with the Copyright Holder by email. A separately offered Product requires another Single Product license or an upgrade. Retiring a Product does not free a reusable license slot. No other legal entity is covered except as Authorized Personnel working solely for the named licensee. A Product sale follows Section 5.10.

5.3 UNLIMITED COMPANY — USD 699, ONE-TIME CURRENT LIST PRICE. One named natural person operating as a sole proprietor, or one named legal entity, may use the Software in unlimited current and future Products it owns and operates. Multiple brands, departments, employees, and teams within that entity are included. A founder's separate company, parent, subsidiary, sister company, client, or joint venture is not included. There is no group extension by shared ownership, billing, domain, office, or development team. Other entities need their own applicable grants or coverage under Enterprise Group or an express Custom agreement.

5.4 ENTERPRISE GROUP — USD 1,499, ONE-TIME CURRENT LIST PRICE. The named parent and its Covered Entities may use the Software across unlimited Products owned/operated within that group, including shared development teams, internal hosting, and private repositories. This is a direct extension of the Copyright Holder's grant to qualifying entities, administered by the parent, not a general right to sublicense.

(a) The parent must have authority to accept for Covered Entities and remains responsible for group compliance. Each participating entity must comply with this License.

(b) Current and future wholly owned subsidiaries qualify automatically while Section 1.14 is satisfied, without a per-subsidiary fee. Keep an up-to-date list and notify the Copyright Holder of changes within thirty (30) calendar days. Notification is administrative, not a separate purchase or discretionary approval requirement.

(c) An entity leaving the group may continue only its existing deployments for ninety (90) calendar days after departure, solely to transition to its own license or remove the Software. It may maintain/security- patch those deployments but may not launch new Products or redistribute the Software under this transition. At its end, separate rights are required. The parent's remaining covered use continues.

(d) Partial ownership, joint ventures, and entities outside the named parent's qualifying chain require separate licenses or an expressly negotiated extension; "Enterprise" alone does not include them.

(e) Covered entities may exchange copies for covered use. Delivery to external customers still requires Custom rights. Enterprise Group contains no OEM, customer-installation, or external redistribution grant.

5.5 CUSTOM / OEM / REDISTRIBUTION — QUOTATIONS START AT USD 2,999. A separate written agreement is required for Customer Installations, distribution of Products containing or commercially requiring the Software, OEM, resale, developer kits, Software white-labeling, or sublicensing beyond Standard Plans. The starting price is an entry point for a narrowly scoped agreement, not a flat price for all rights, an automatic license, or a cap. No particular Custom right is included until expressly written into the agreement. A quote must identify:

(a) licensees, Products, Software versions, and permitted modifications;

(b) delivery methods, installation/customer limits, territories, channels, and the duration of the grant;

(c) downstream runtime/source/modification rights, attribution, and any permitted further sublicensing or distribution;

(d) applicable fees: one-time, per-installation, royalty, revenue share, recurring minimums, or another expressly agreed basis;

(e) any reporting, support, update entitlement, and treatment of deployed customer copies at expiry or termination. Copyright ownership, exclusivity, public registry publication, unlimited downstream use, and direct support of Your customers are not included by implication. Requests may be declined. Non-standard group coverage can also be negotiated; this does not itself confer any redistribution rights.

5.6 AGENCIES, CONTRACTORS, AND DIRECT CLIENT LICENSES.

(a) A genuine client-owned bespoke application may be developed and maintained by its agency as Authorized Personnel of that client. The client obtains the Software directly from Official Distribution Channels and relies on its own Permitted Free Use or commercial grant. The agency may install it into the client's controlled environment on that client's behalf and access that environment solely to provide services.

(b) The agency may deliver its independently written application code without Software copies and identify the official dependency. This exception applies to bespoke development for the identified owner, not resale of the agency's reusable product, template, boilerplate, or customer edition. It does not sublicense the agency's license or transfer its private fork.

(c) A client's own internal application can therefore qualify for free use; a client-owned SaaS requires that client's suitable Standard Plan for Hosted Use. The agency's Unlimited Company never covers client-owned Products. The client needs Custom rights if it subsequently distributes Software-containing Products to its own customers.

(d) Selling or installing Your own product for many customers is not converted into bespoke development by separate invoices or customer downloads from Packagist. That model requires Custom authorization for the vendor. Customer licenses alone do not confer distribution rights on the vendor.

5.7  FORMATION, PAYMENT, AND PRECEDENCE.

(a) Before payment, the order must identify the licensee, plan/scope, applicable License version, price, taxes where applicable, and any departures from standard terms. These terms must be available to the purchaser before acceptance. A later email cannot unilaterally reduce the accepted grant.

(b) Commercial rights become effective when payment is confirmed and the Copyright Holder issues/authenticates the License Confirmation, unless that instrument expressly agrees a different payment/effective date. Keep both confirmation and payment record. A donation, unaccepted quote, public price listing, or unsupported payment is not a commercial grant.

(c) Priority is: an expressly agreed Custom agreement/amendment; the accepted License Confirmation for its named scope and commercial particulars; the applicable version of this LICENSE; then the matching COMMERCIAL.md guide for explanation. A routine Standard Plan confirmation cannot silently add redistribution rights. Such rights require express Custom terms identifying the relevant exception.

(d) The USD amounts above are this version's public list prices, excluding applicable VAT/sales tax. Actual taxes/currency and the final amount must be disclosed in the quote/checkout. New public prices may change for future orders; accepted orders and issued grants are unaffected. No subsequent price increase creates a balance due on a paid license.

5.8 DURATION, VERSIONS, UPDATES, AND SUPPORT. Standard Plans are perpetual within the licensed scope, subject to their conditions and Section 7. No annual fee, per-user royalty, or renewal is required to continue that use. To the extent permitted by law, the Copyright Holder will not terminate a paid Standard Plan merely for convenience. The grant covers the package version obtained and subsequent updates, including major versions of this same package, released by the Copyright Holder through Official Distribution Channels. Those updates may be used under the issued commercial grant; a new embedded license text does not reduce it without agreement. Separate products/add-ons are excluded. Current source and releases are available through public official channels. Payment buys usage rights, not a private update subscription. There is no promise to create future releases, maintain public hosting indefinitely, support every framework version, supply fixes by a deadline, or provide an SLA. You may retain permitted copies. Discontinuation or choosing not to update does not end perpetual rights to versions already covered. Support, customization, training, indemnities, and service commitments are included only when expressly agreed. Custom duration/updates follow its agreement. No runtime activation or periodic online validation is required by the Standard Plans; lack of a technical check does not expand rights.

5.9 STANDARD PLAN UPGRADES. For licenses originally issued under version 2.0, the holder may request an upgrade from Single Product to Unlimited Company or Enterprise Group, or from Unlimited Company to Enterprise Group. There is no upgrade deadline. The upgrade fee is the then-current destination list price minus eligible net license fees already paid, with a minimum of zero. Eligible credit excludes taxes, refunds, chargebacks, support, and Custom fees; it cannot be redeemed for cash or used twice. Several lower-tier grants may be consolidated only if all their Products/entities fit the destination scope, their holders consent, and the grants are identified in the new confirmation. Upgraded grants are replaced, not retained as transferable spare licenses. Consolidation does not authorize historical out-of-scope use. Custom and pre-2.0 upgrade credits require an individual written quote; there is no automatic downgrade refund or Custom credit. The expanded scope starts only when the upgrade is paid and confirmed under Section 5.7.

5.10 OWNERSHIP CHANGES AND TRANSFERS. A change of trading name or shareholders does not transfer a license if the same legal licensee remains and scope conditions continue. Notify the Copyright Holder of legal-name/contact changes. Under Enterprise Group, acquisition of the named parent does not automatically cover the acquirer's other entities; subsidiary departures follow Section 5.4(c). A sale of a Product, assignment to another company, incorporation of a sole proprietorship, or merger into a different legal entity does not automatically transfer rights, except where mandatory law provides otherwise. Obtain written transfer approval, appropriate new licenses, or an agreed transition before the recipient begins using the Software under the transferred scope. The Copyright Holder may agree a Single Product transfer with its entire Product; it does not carry unrelated portfolio rights. Transfers of Products within an existing Enterprise Group remain covered while both entities qualify and the Product stays within the group.

5.11 REFUNDS AND REMEDIES. Voluntary refunds follow the terms disclosed for the accepted order. Unless that order or the payment provider's applicable policy provides otherwise, issued commercial grants are non-refundable. Mandatory refund, withdrawal, and other statutory rights are preserved. If payment was collected but the Copyright Holder declines to issue the agreed grant, the license payment must be refunded. A full license refund cancels that commercial grant; a partial price adjustment does not unless expressly agreed. A billing dispute is not itself a license breach; actual non-payment follows Section 7.

## Section 6: intellectual property and third-party rights

6.1 The Software is licensed, not sold. The Copyright Holder retains ownership of the Software and its intellectual property, subject to third-party rights. Your application, data, and independently authored code remain Yours.

6.2 No trademark, exclusivity, or copyright assignment is implied. Any patent permission extends only to rights controlled by the Copyright Holder and necessary to exercise the expressly granted use, for its authorized duration.

6.3 Retain this License and the Software's copyright notices in permitted copies. Maintain evidence of commercial rights separately; You need not publish confidential License Confirmations or commercial terms to end users. Browser output requires no additional badge beyond existing asset notices.

6.4 Third-party code, libraries, icons, services, and dependencies are governed by their own licenses/terms. See CREDITS.md and the relevant components. This License neither restricts rights independently granted by third parties nor licenses services, API credentials, or other packages on their behalf.

## Section 7: breach, termination, and survival

7.1 Out-of-scope use is never authorized merely because another use is licensed. You must stop unauthorized copying, distribution, or use immediately. Subject to mandatory law, the Copyright Holder may terminate the affected grant by written notice for an unremedied material breach after thirty (30) calendar days' written notice describing it and an opportunity to cure. Deliberate unauthorized redistribution, fraudulent licensing information, or repeated material breach after a prior cure may justify immediate written termination. No cure period grants temporary rights for the disputed use.

7.2 A late payment or administrative error that can be remedied is subject to the cure process. A minor breach does not automatically extinguish all perpetual rights. For separate identifiable grants, termination affects the breached grant, not unrelated compliant grants, unless those grants are themselves implicated in the breach.

7.3 After termination, cease use under the terminated grant and remove its Software copies, including working copies and deployment artifacts. One inaccessible archival copy may be retained where legally required, and immutable backups may expire through their ordinary retention cycle if not restored to active use. Any independently valid grant remains effective for its own scope. Confirm compliance reasonably upon written request. Custom downstream treatment follows its express agreement; Standard Plans do not create downstream sublicenses that survive independently.

7.4 Rights/remedies accrued before termination, Section 4 contribution grants, Section 6 ownership/notices, Sections 8–10 as applicable, and obligations necessary to enforce scope and termination survive. Unauthorized use may support contractual or copyright remedies to the extent available under applicable law; this License does not predetermine a court's findings or create remedies unavailable under that law.

## Section 8: warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. NO PROMISE IS MADE THAT IT WILL BE ERROR-FREE, UNINTERRUPTED, SECURE IN EVERY CONFIGURATION, OR SUITABLE FOR YOUR PARTICULAR REQUIREMENTS. YOU ARE RESPONSIBLE FOR EVALUATION, TESTING, DEPLOYMENT, ACCESS CONTROL, AND BACKUPS. THIS DOES NOT EXCLUDE EXPRESS WRITTEN COMMITMENTS OR WARRANTIES/REMEDIES THAT CANNOT LAWFULLY BE EXCLUDED.

## Section 9: liability

9.1 To the extent permitted by law, the Copyright Holder is not liable for indirect or consequential loss, lost profits/revenue, business interruption, or loss of data arising from the Software or this License.

9.2 Subject to Section 9.3, the Copyright Holder's aggregate liability arising from an affected grant is limited to the license fees actually paid for that grant, including its upgrade fees, excluding taxes and unrelated services. For a free grant, liability is excluded to the extent permitted by law. The cap does not decrease merely because a perpetual license is older than twelve months.

9.3 Nothing excludes or limits liability for intentional wrongdoing, fraud, or any liability/rights that cannot be excluded or limited by applicable law. Required refunds under Section 5.11 are not removed by this Section.

9.4 This Section limits claims against the Copyright Holder; it does not grant permission to infringe, cap Your agreed license fees, or create automatic penalties. Each party's remedies remain subject to applicable law.

## Section 10: general terms and version protection

10.1 Polish substantive law governs this License, including the Act of 4 February 1994 on Copyright and Related Rights, as amended. Mandatory protections applicable irrespective of this choice of law are preserved.

10.2 Subject to mandatory jurisdiction rules, disputes are submitted to the competent courts in Warsaw, Poland. A business-use statement does not waive statutory protections that apply to a particular purchaser.

10.3 If a provision is unenforceable, the remaining provisions continue so far as legally possible. Mandatory law prevails over conflicting restrictions.

10.4 This License and the accepted License Confirmation and any expressly agreed amendments constitute the license agreement in the priority set out in Section 5.7(c). COMMERCIAL.md is an explanatory/pricing guide, not an independent redistribution grant. Purchase orders or customer policies do not amend this agreement unless expressly accepted by the Copyright Holder.

10.5 Failure to enforce a provision is not a waiver. License correspondence may be by email to the contact above and the licensee's designated address, subject to any form requirements of mandatory applicable law.

10.6 VERSION AND EXISTING-LICENSE PROTECTION. This is version 2.0, effective 1 October 2026. It replaces the public 1.1 text for new grants under this version. It introduces explicit Standard Plan scopes, Enterprise Group, the new price schedule, and revised operational/commercial terms; it is not presented as a merely editorial clarification of version 1.1.

(a) Previously issued commercial licenses retain their agreed prices, scope, duration, update rights, and license version. They are not automatically narrowed, repriced, upgraded, or renamed. A prior Unlimited grant does not become Enterprise Group or OEM by implication.

(b) Copies previously obtained under a valid free license remain governed by that version for those copies. It does not automatically grant rights to future versions; assess the terms accompanying each new version.

(c) Existing customers need not pay again solely because this document or public pricing changes. Expanded use needs the rights applicable to that expansion; preserve the original grant unless an agreed upgrade or replacement expressly supersedes it.

(d) Issued version-2.0 commercial grants retain their terms for updates covered by Section 5.8. No later website, repository, or price-list edit unilaterally reduces rights already granted.

(e) The clarification published on 17 October 2026 in Sections 1.5(f), 2.4 and 4.3 acknowledges separately granted GitHub platform permissions. It does not change plan prices, commercial scope, update entitlement, or the conditions of previously issued grants, and does not withdraw rights already held under GitHub's terms.

10.7 English is the governing language; translations are for convenience.

10.8 PROPORTIONATE VERIFICATION. On reasonable written notice, the Copyright Holder may request confirmation of Product identities, entity coverage, ownership relationships, and hosting/distribution model relevant to this grant. An authorized representative's email within thirty (30) calendar days is sufficient; redacted supporting records may be used. Requests are limited to once per twelve months unless there is reasonable evidence of non-compliance or a relevant scope change. No source-code disclosure, customer personal data, server access, telemetry, or on-site audit is required under Standard Plans. Material misrepresentation or persistent refusal to provide proportionate confirmation is subject to Section 7.
